This Resource User Agreement ("Agreement") is entered into between More Bilişim ve Danışmanlık Ticaret Limited Şirketi ("MorePerson", "the Company"), a company registered in Türkiye at Küçükbakkalköy Mah. Kayışdağı Cad. Metal İş Merkezi Kapı No:37/33, 34750 Ataşehir / İstanbul / Türkiye, and the individual registering as a Resource on the MorePerson Portal ("Resource", "you"). By checking the acceptance box during registration, you confirm that you have read, understood, and agreed to be bound by this Agreement.
1. Scope of Services. The Resource may be assigned by the Company to provide consultancy services to the Company's client organizations ("Clients") on a project basis. Each assignment's specific terms (duration, daily rate, scope) are governed by the relevant project documentation and, where applicable, a separate assignment or service order.
2. Time Reporting and Invoicing. The Resource shall record all working hours ("Activity Entries") through the Portal in a timely and accurate manner. No invoice shall be issued, and no payment obligation shall arise, for any Activity Entry that has not been reviewed and approved (signed) by the relevant Client through the Portal's approval mechanism. Activity Entries that are rejected, left pending, or not submitted within the applicable reporting period may not be invoiced and the Company shall bear no liability for compensation related to such unreported or unapproved time.
3. Ownership and Intellectual Property. All rights, title, and interest — including but not limited to intellectual property rights, work product, deliverables, documentation, methodologies, and any materials created or developed by the Resource in connection with assignments facilitated through the Portal — shall belong exclusively to More Bilişim ve Danışmanlık Ticaret Limited Şirketi, except where explicitly agreed otherwise in writing. The Resource hereby assigns and waives any conflicting claim to such rights to the fullest extent permitted by applicable law.
4. Confidentiality and Client Data. Acting in its capacity as a commercial trader operating the Portal, the Company undertakes to safeguard all Portal information and Client information with commercially reasonable technical and organizational security measures; Client information shall under no circumstances be shared with, sold to, or disclosed to any unrelated third party. As a person granted access to such information solely for the performance of assigned services, the Resource is equally and independently bound by this undertaking: the Resource shall treat all Client information, business data, and materials accessed in connection with an assignment as strictly confidential and as a trade secret of the Company and its Clients. The Resource shall not copy, retain, disclose, reproduce, or use such Client data for any purpose other than the performance of the assigned services, and shall not share such data with any third party, including other Clients, without the Company's prior written consent. This obligation survives the termination of the Resource's relationship with the Company and any given assignment, and applies regardless of the medium (Portal records, exported reports, email, or verbal disclosure) through which the information was obtained.
5. Accuracy of Portal Records. The Resource acknowledges that the Portal's records (including Activity Entries, approval status, and audit logs) constitute the Company's official business records. In the event of any inconsistency, dispute, or discrepancy between the Resource's own records and the Portal's records, the Company's records maintained on the Portal and its systems shall be deemed accurate and controlling, absent manifest error demonstrated by the Resource with contemporaneous, verifiable evidence.
6. Conduct and Compliance. The Resource agrees to act in good faith, comply with the Client's reasonable workplace policies during assignments, and promptly report any conflict of interest, data breach, or irregularity to the Company.
7. Term and Termination. This Agreement remains in effect for as long as the Resource maintains an active account on the Portal. The Company may suspend or terminate the Resource's account and any pending assignments at its discretion in case of a material breach of this Agreement, including but not limited to unauthorized disclosure of Client data or submission of fraudulent Activity Entries.
8. Governing Law and Jurisdiction. This Agreement is governed by the laws of the Republic of Türkiye. Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts and enforcement offices of the city where the Company's registered office is located.
9. Entire Agreement. This Agreement, together with the Company's Privacy Policy and any project-specific assignment terms, constitutes the entire understanding between the parties regarding the Resource's use of the Portal.
This Agreement is provided as a standard template for platform registration purposes. For assignment-specific or high-value engagements, the Company recommends executing a supplementary written agreement reviewed by legal counsel.
